Extinguishment of subrogation rights of third-party guarantors at nil value under resolution plans

A corporate insolvency resolution plan approved under Section 31 of the Insolvency and Bankruptcy Code, 2016 may legitimately provide that any claims of subrogation, indemnity, or equity raised by a third-party guarantor or security provider against the corporate debtor or the successful resolution applicant shall be extinguished at nil value. This mechanism is essential to ensure the commercial efficacy of the corporate resolution and to protect the reconstituted corporate debtor from legacy liabilities and back-door claims. Such extinguishment prevents the corporate debtor from facing revived debts post-insolvency while simultaneously preserving the independent rights of financial creditors to enforce collateral securities and recover their residual unsustainable debts from third-party guarantors.
